Terms of Service

1. The Platform

RenDeals Technologies Ltd. ("RenDeals", "we") operates a digital marketplace that connects sellers of renewable energy assets with institutional buyers and lenders. By creating an account, you agree to these terms.

2. User Roles

The platform supports four user types:

• Sellers: List renewable energy projects for sale or financing. Subject to the Master Agreement and contact fee terms.
• Buyers: Browse and acquire listed projects. Free to use — no subscription or transaction fees.
• Lenders: Access financing-eligible deals via annual subscription. Contact us for pricing.
• Advisors: Support transactions as financial, legal, or technical advisors.

3. Seller Obligations

• Sellers must sign the RenDeals Master Agreement before submitting their first project.
• All information provided for listings must be accurate and complete to the best of the seller's knowledge.
• Sellers agree to a contact fee payable to RenDeals upon successful completion of a transaction introduced through the platform, as specified in the Master Agreement.
• Sellers approve each listing before it goes live and may withdraw listings at any time.

4. Non-Circumvention

Users agree not to complete transactions with parties introduced through RenDeals outside of the platform without prior written consent. This obligation applies for 24 months following the introduction. Violations will result in the full contact fee becoming due and payable.

5. Confidentiality

All non-public project information shared through the platform is confidential. Users may not disclose, reproduce, or distribute such information without the express consent of the information owner. NDA execution on the platform creates a binding confidentiality obligation between the parties.

6. Deal Management

RenDeals provides deal management services including:

• Assigned project managers who work with sellers to prepare listings.
• Buyer and lender screening — EOIs are reviewed before being forwarded to sellers.
• Optional on-platform NDA execution at the seller's discretion.

RenDeals does not provide investment, legal, or tax advice. Users should conduct their own due diligence before entering into any transaction.

7. Intellectual Property

The RenDeals platform, including its design, code, and branding, is the property of RenDeals Technologies Ltd. Users retain ownership of their own content (project data, documents) but grant RenDeals a licence to display it on the platform for the purposes of facilitating transactions.

8. Limitation of Liability

RenDeals acts as a marketplace facilitator and is not a party to transactions between users. We do not guarantee the accuracy of information provided by users, the completion of any transaction, or the suitability of any investment. Our liability is limited to the fees received by RenDeals in connection with the relevant transaction.

9. Account Termination

Either party may terminate the account relationship with 30 days written notice. RenDeals reserves the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or misrepresent information. Obligations arising from completed introductions survive termination.

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from or relating to these terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email to registered users. Continued use of the platform after changes constitutes acceptance of the updated terms.
